Contractor Quality of Earnings (QoE) & Business Valuation Calculator
Private equity and strategic buyers do not pay a multiple on your tax-return net income. They commission a Quality of Earnings (QoE) financial due diligence review that tests every owner add-back, converts cash-basis job deposits to ASC 606 WIP accrual, and sets a Net Working Capital peg. Select your trade sector, reported EBITDA, and accounting basis below to model your Enterprise Value band and see how much purchase price is exposed to QoE re-trading.
What is your contracting business worth, and how much EBITDA is exposed in buyer QoE diligence?
Private equity and regional platform buyers value contractors on accrual-adjusted EBITDA rather than cash-basis tax returns. When a buyer's financial due diligence team converts cash books to ASC 606 accrual, unrecorded deferred membership liabilities, missing WIP schedules, and undocumented owner add-backs can reduce verified EBITDA and multiplied purchase price.
1. Illustrative headline Enterprise Value (4.5x-6.5x)
$4,050,000 to $5,850,000
Applies 4.5x-6.5x scenario multiple band to $900,000 reported EBITDA, not a formal appraisal.
2. Modeled EBITDA exposed in QoE diligence (18%)
$162,000
Scenario testing if 18% of $900,000 reported EBITDA is reduced for WIP cutoffs, deferred revenue, or disallowed add-backs.
3. Modeled purchase-price re-trade exposure (5.50x midpoint)
$891,000
Equals $162,000 exposed EBITDA multiplied by the 5.50x midpoint multiple.
3 sell-side QoE diligence fault patterns for Commercial HVAC & Mechanical:
QoE Diligence Gate 01
Convert trailing 24-month financials from cash/tax basis to monthly ASC 606 WIP accrual so buyer diligence does not reverse upfront job deposits out of trailing EBITDA.
QoE Diligence Gate 02
Track prepaid annual maintenance memberships and NFPA inspection contracts in Account 2410 (Deferred Revenue) and recognize revenue as visits are performed or ratably per contract terms.
QoE Diligence Gate 03
Document every owner compensation, personal vehicle, and non-recurring add-back with a general-ledger transaction voucher and receipt schedule before signing an LOI.

Quality of Earnings (QoE), EBITDA add-backs & valuation FAQ
A Quality of Earnings (QoE) report is an independent financial due diligence analysis (not a statutory audit or CPA assurance engagement) commissioned by a private equity buyer, SBA lender, or strategic acquirer during M&A due diligence. Unlike a tax return or standard compilation, a QoE reconstructs your trailing 12-to-36 months of monthly revenue and expenses on a GAAP accrual basis (ASC 606), evaluates whether owner add-backs are genuinely non-recurring, tests customer concentration and service-agreement renewal cohorts, and informs the Net Working Capital (NWC) peg required at closing.
Buyers routinely accept documented owner compensation above market replacement cost, personal vehicle/travel expenses with clear receipts, one-time legal or settlement costs, and non-operating family payroll. Buyers frequently challenge or reverse: (1) cash-basis revenue timing differences that belong in prior or future periods under ASC 606 WIP cutoffs, (2) un-accrued technician bonuses, PTO, and warranty callback reserves, (3) 'one-time' marketing or recruiting spend that is required to maintain headcount, and (4) un-reconciled Undeposited Funds or clearing account plugs.
Valuation multiples depend on revenue scale, recurring maintenance or inspection revenue share, commercial vs. residential mix, and accounting quality. In our illustrative planning scenarios, sub-$1.5M EBITDA tuck-in acquisitions typically model between 3.5x and 7.0x Adjusted EBITDA depending on trade sector, whereas $1.5M+ EBITDA platform-scale contractors with strong service-agreement or inspection revenue and clean ASC 606 financials model between 4.5x and 8.5x Adjusted EBITDA.
When an owner goes under Letter of Intent (LOI) on cash-basis or hybrid QuickBooks financials, the buyer's QoE diligence team converts the trailing 12 months to accrual (which can adjust trailing earnings upward or downward depending on cutoff timing). If upfront job deposits were booked as current revenue without a matching Overbilling liability (Account 2450), or if annual service memberships were recognized upfront instead of amortized through Deferred Revenue (Account 2410), an illustrative 4% to 18% reduction in verified EBITDA gets multiplied by the deal multiple at closing.
